Terms and Conditions

Overview

Trimble Forestry and its affiliates (“Trimble”) offer this Customer Referral Program to current customers who are interested in providing referrals (“Referring Customers”) to Trimble Forestry to become new customers of the Connected Forest (“New Customers”). These Terms and Conditions (“Terms”) govern the participation in the Customer Referral Program by both Referring Customers and New Customers (each a “Participant” and collectively the “Participants”).

Eligibility

The Referring Customer must be a current customer of Trimble Forestry, and in good standing with Trimble Forestry with respect to its payment obligations and otherwise.
The New Customer referred by Referring Customer must be a new / first-time customer of Trimble Forestry.

How to Participate

Referring Customer must submit the Referral Form
Trimble will review the submitted Referral Form to determine eligibility of both Participants.
In the event that two Referring Customers each refer the same New Customer, the first Referring Customer to do so will be eligible to participate in the Customer Referral Program.
The New Customer must purchase a subscription of at least 12 months in duration to the Connected Forest product/services under Trimble Forestry’s standard terms and conditions in the amount of at least $10,000 per year (“CF Agreement”).
The CF Agreement must be signed by both Trimble Forestry and New Customer within 24 months of the date of referral that is indicated on the Referral Form.

Reward

If all eligibility criteria described in these Terms are satisfied, as determined in the sole discretion of Trimble, each Participant will receive one entry ticket to the next Trimble Forestry user conference (“Reward”). The Reward is non-transferable, not redeemable for cash, and must be accepted as-is with no substitutions. Trimble reserves the right to substitute a prize of equal or greater value at its sole discretion. ANY TAXES, FEES, EXPENSES, OR REPORTING REQUIREMENTS ARE THE SOLE RESPONSIBILITY OF THE EACH PARTICIPANT. THE REWARD DOES NOT INCLUDE AIRFARE, TRAVEL, LODGING, OR MEAL EXPENSES, ALL OF WHICH ARE THE SOLE RESPONSIBILITY OF EACH PARTICIPANT. EACH PARTICIPANT MUST AGREE TO THE REGISTRATION TERMS AND CONDITIONS FOR THE USER CONFERENCE. 

Total approximate retail value of the Reward: $500.00 USD

Restrictions

The following is a non-exhaustive list of activities that are not permitted and that will disqualify a Participant from participating in the Customer Referral Program: (1) self-referral; (2) creating fake accounts, blogs, web pages, profiles, websites, links or messages; (3) any bulk email distribution, submission or distribution, or any other promotion that would constitute or appear to constitute unsolicited commercial email or “spam”; (4) promoting the Referral Program on any web page that is not owned and controlled by such Participant, including, but not limited to, any merchant, social media, or forum page; (5) using any keywords containing marks of Trimble or common misspellings thereof; (6) placement of the logos of Trimble or mention of trademarks or trade names of Trimble in any ad text, extensions or banner ads; (7) misleading or attempting to mislead anyone in connection with the Customer Referral Program, including, but not limited to, misrepresenting Referring Customer’s relationship with Trimble or posing as Trimble’s representative; and (8) taking any action or making any content that is disparaging or defamatory to Trimble.

Limitations on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTICIPANT INDEMNIFIES AND AGREES TO KEEP INDEMNIFIED TRIMBLE AT ALL TIMES FROM AND AGAINST ANY LIABILITY, ACTIONS, CLAIMS, DEMANDS, LOSSES, DAMAGES, COSTS AND EXPENSES RESULTING FROM ANY ACT, DEFAULT OR OMISSION OF SUCH PARTICIPANT IN CONNECTION WITH THE CUSTOMER REFERRAL PROGRAM AND/OR USE OR ACCEPTANCE OF THE REWARD.

General

The Customer Referral Program is governed by the laws of the State of Delaware, United States. By participating in the Customer Referral Program, each Participant agrees to be bound by these Terms and by the decisions of Trimble, which are final and binding on all matters pertaining to the Customer Referral Program. Trimble may amend these Terms from time to time, and such revised Terms shall become effective immediately upon publishing. Trimble reserves the right to amend, suspend or cancel the Customer Referral Program at any time.

Privacy

By participating in the Customer Referral Program, Participant agrees to Trimble’s use of personal information as described in Trimble’s Privacy Notice, which can be found at http://www.trimble.com/Corporate/Privacy.aspx. Participant further agrees that personal data, including name and address, may be processed, stored and otherwise used for the purposes and within the context of the Customer Referral Program and any other purposes outlined in these Terms. The data may also be used by Trimble in order to check Participant’s identities, email addresses, and telephone numbers, or to otherwise verify eligibility to participate in the Customer Referral Program. If the required data is not provided, Participant will be ineligible to participate in the Customer Referral Program. By entering the Customer Referral Program, each Participant agrees to the transmission, processing, and storage of this personal data in the United States.
